Real Estate Legal Counsel
Compensation: $95,000 - $100,000
We are looking for an experienced and detail-oriented Real Estate Legal Counsel to provide expert legal support and guidance on a wide range of real estate matters. The ideal candidate will have a strong background in commercial real estate law and the ability to manage projects from inception to completion. This role involves drafting and reviewing agreements, managing legal risks, supporting business operations, and handling real estate transactions related to acquisitions, sales, leases, and financing.
Key Responsibilities
Contract Drafting & Negotiation
- Draft, review, and negotiate purchase and sale agreements, lease agreements, construction contracts, and other commercial real estate documents.
- Provide strategic legal advice on contract terms and business arrangements.
Legal Guidance & Risk Management
- Advise management and business units on contract interpretation, disputes, and risk mitigation strategies.
- Proactively identify and address legal risks to minimize litigation exposure.
Transactional & Conveyancing Support
- Prepare and review real estate transaction documents such as deeds, leases, purchase agreements, and financing contracts.
- Oversee transactions from initial due diligence to closing.
Due Diligence & Compliance
- Conduct and oversee legal and title searches, including tax, title, and property registry reviews.
- Compile and analyze due diligence reports for real estate projects.
Document Management & Filing
- Draft, review, and file mortgage instructions, easements, liens, and financing documents with relevant registries.
- Maintain accurate and organized legal records.
Coordination & Client Communication
- Act as the primary liaison between clients, brokers, external counsel, and internal teams.
- Provide timely updates and legal correspondence on real estate matters.
Closing & Funds Management
- Oversee and coordinate the closing process, ensuring proper fund requisition, mortgage financing, and transaction settlements.
- Ensure smooth and compliant transfer of funds.
Legal Research & Administrative Duties
- Conduct legal research on real estate and corporate law matters.
- Handle administrative responsibilities, including legal file management, invoice preparation, and conflict checks.
Additional Duties
- Assist with corporate and commercial agreements related to real estate transactions.
- Draft and review corporate resolutions, security agreements, and PPR (Personal Property Registry) registrations.
Qualifications & Requirements
Education & Certification
- Juris Doctor (JD) or equivalent degree and licensed to practice law in a Canadian province or territory.
- Completion of a legal assistant program (preferred).
Experience
- 5+ years of experience in commercial real estate law, including industrial, commercial, and residential transactions.
- Proficiency in commercial financing, title reviews, mortgage payouts, and real estate due diligence.
Skills & Competencies
- Strong problem-solving skills with the ability to work independently.
- Exceptional attention to detail, especially in contract drafting and legal documentation.
- Ability to prioritize and manage multiple tasks in a deadline-driven environment.
- Excellent verbal and written communication skills.
- Proficiency in Microsoft Office (Word, Outlook, Excel) and real estate software such as Conveyancer.
- Strong organizational and time-management skills.
